  • the software;
  • source code;
  • application architecture;
  • interfaces;
  • designs;
  • documentation;
  • workflows;
  • features;

Except as expressly permitted under these Terms, the Customer does not acquire ownership of OPS360.

The Customer retains its rights in Customer Data.

The Customer grants Pixel8 Digital the rights reasonably necessary to host, process, transmit, store, back up and otherwise process Customer Data for the purpose of providing OPS360 and performing our obligations under these Terms.

11. Privacy

Pixel8 Digital's handling of personal information is described in the OPS360 Privacy Policy.

The Customer acknowledges that OPS360 may process personal information on behalf of the Customer as part of providing the service.

The Customer remains responsible for its own privacy obligations relating to its collection and use of personal information through OPS360.

12. Third-party services

OPS360 relies on third-party infrastructure and services, which may include:

  • Vercel;
  • MongoDB Atlas;
  • AWS Cognito;
  • Amazon S3; and
  • Google Maps Platform.

These services support application hosting, authentication, database storage, file storage, address lookup and related functionality.

Third-party services may have their own terms, policies, availability requirements and limitations.

Pixel8 Digital is not responsible for failures or changes to third-party services that are outside Pixel8 Digital's reasonable control.

13. Service availability

We aim to provide a reliable and secure service but do not guarantee that OPS360 will:

  • be available at all times;
  • be uninterrupted;
  • be completely error-free;
  • be free from vulnerabilities; or
  • remain unchanged.

The service may occasionally be unavailable because of:

  • planned maintenance;
  • emergency maintenance;
  • upgrades;
  • security incidents;
  • third-party service outages;
  • network failures;
  • infrastructure failures; or
  • circumstances outside our reasonable control.

14. Changes to OPS360

Pixel8 Digital may modify, improve, replace or discontinue features of OPS360 from time to time.

We may introduce:

  • new functionality;
  • security improvements;
  • changes to user interfaces;
  • changes to integrations;
  • performance improvements; or
  • changes required to comply with applicable laws.

Where a material change substantially reduces the core functionality of the service, we will endeavour to provide reasonable notice where practicable.

15. Security

We implement reasonable technical and organisational measures designed to protect OPS360 and Customer Data.

However, the Customer acknowledges that no internet-based service can be guaranteed to be completely secure.

Customers are responsible for:

  • protecting administrator credentials;
  • maintaining appropriate User permissions;
  • configuring access appropriately;
  • ensuring Users protect their credentials; and

  • protect the security of the service;
  • prevent unauthorised access;
  • investigate suspected misuse;
  • comply with law;
  • address a serious breach of these Terms;
  • prevent harm to other Customers or Users; or
  • address non-payment where applicable.

Where reasonably practicable, we will provide notice before suspension unless immediate action is required for security, legal or operational reasons.

17. Termination

A Customer may terminate its use of OPS360 in accordance with its applicable subscription or commercial agreement.

Pixel8 Digital may terminate or suspend access where:

  • the Customer materially breaches these Terms;
  • the Customer fails to pay applicable fees;
  • continued use creates a material security or legal risk;
  • the Customer uses the service unlawfully; or
  • OPS360 is discontinued.

Termination does not automatically require immediate deletion of Customer Data.

18. Data retention after termination

When a Customer stops using OPS360, access to its operational data through the application may be disabled.

Unless otherwise agreed in writing, Pixel8 Digital may retain Customer Data for up to 7 years following termination.

This retention period may be used for:

  • audit purposes;
  • historical records;
  • legal and regulatory requirements;
  • dispute resolution;
  • security investigations;
  • contractual records;
  • financial and business records; and
  • protection of Pixel8 Digital's legal rights.

During this period, the former Customer will generally no longer have access to the data through the normal OPS360 application.

Access to retained information may be restricted to authorised Pixel8 Digital personnel and may be subject to appropriate security controls.

At the end of the applicable retention period, Pixel8 Digital will take reasonable steps to delete or de-identify the information, subject to any legal, regulatory, security, backup or other legitimate requirement to retain it.

19. Backups

OPS360 and its underlying infrastructure may maintain backups or other resilience copies of Customer Data.

Backups may not be immediately deleted when Customer Data is deleted from active systems.

Where information is retained in backups, it will remain subject to appropriate security controls and will be removed or overwritten in accordance with applicable backup and retention processes.

20. Customer responsibility for decisions

OPS360 provides tools and information to assist Customers with workforce management.

The Customer remains responsible for decisions it makes using information obtained from OPS360, including decisions relating to:

  • staff attendance;
  • shift allocation;
  • workforce performance;
  • compliance;
  • location;
  • employment;
  • contractor engagement; and
  • other operational matters.

Pixel8 Digital does not make employment or workforce decisions on behalf of the Customer.

21. No professional or legal advice

OPS360 is a software platform and does not provide legal, employment, workplace relations, privacy or other professional advice.

Customers are responsible for obtaining their own professional advice where required.

22. Fees and subscription

Where OPS360 is provided on a paid subscription basis, applicable fees, billing arrangements, subscription periods and other commercial terms may be set out in a separate order, proposal, agreement or subscription arrangement.

If there is a conflict between these Terms and a specific written commercial agreement with the Customer, the specific commercial agreement will prevail to the extent of the inconsistency.

23. Liability

To the maximum extent permitted by law, Pixel8 Digital will not be liable for indirect, incidental, special or consequential loss arising from the use of OPS360, including loss of profits, revenue, business opportunity or anticipated savings.

Nothing in these Terms excludes, restricts or modifies any right, guarantee, warranty or remedy that cannot lawfully be excluded, restricted or modified under applicable law.

Where the Australian Consumer Law applies, nothing in these Terms is intended to exclude or limit rights that cannot legally be excluded or limited.

Subject to applicable law and any separate written agreement, Pixel8 Digital's liability arising from the provision of OPS360 will be limited to the extent permitted by law.

24. Indemnity

To the extent permitted by law, the Customer indemnifies Pixel8 Digital against claims, losses, liabilities, costs and expenses arising from:

  • the Customer's unlawful use of OPS360;
  • the Customer's breach of these Terms;
  • the Customer's failure to obtain required permissions or authorisations;
  • the Customer's unlawful collection, use or disclosure of personal information;
  • Customer Data that infringes a third party's rights; or
  • acts or omissions of the Customer or its Users.

This clause does not apply to the extent that the relevant loss was caused by Pixel8 Digital's own breach of these Terms or applicable law.

25. Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies rights or remedies available under the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law, where those rights or remedies cannot lawfully be excluded.

To the extent permitted by law, and where the Customer is acquiring OPS360 for business purposes, the parties acknowledge that certain consumer guarantees may be excluded or modified only where legally permitted.

26. Changes to these Terms

We may update these Terms from time to time.

Updated Terms will be made available through the relevant OPS360 or Pixel8 Digital website or application.

If a change is material, we will endeavour to provide reasonable notice where practicable.

Continued use of OPS360 after the effective date of updated Terms constitutes acceptance of the updated Terms, to the extent permitted by law.

27. Governing law

These Terms are governed by the laws of Victoria, Australia.

The parties submit to the courts of Victoria and courts entitled to hear appeals from them, subject to any applicable mandatory legal rights.
